1. Anvendelse og gyldighed
Disse forretningsbetingelser er gældende for alle opgaver og samarbejder indgået mellem Tank Projects ApS (”Tank Projects”) og kunden, medmindre andet er aftalt skriftligt. Ved at acceptere et tilbud, bekræfte en opgave eller betale en fremsendt faktura, bekræfter kunden samtidig at have accepteret og forstået nærværende betingelser.
2. Tilbud og varighed
Alle fremsendte tilbud er gældende i 30 kalenderdage fra datoen for afsendelse, medmindre andet er angivet.
3. Fakturering og betalingsvilkår
3.1 Mindre opgaver faktureres ved afslutning af arbejdet.
3.2 Abonnementsbaserede ydelser – herunder marketing, support og vedligehold – faktureres forud hver måned med forfald den 20.
3.3 Ved projekter med en samlet værdi over DKK 30.000 ekskl. moms faktureres 50 % ved opstart (14 dage efter projektstart) og 50 % ved levering, medmindre andet er aftalt.
3.4 Projekter over DKK 50.000 ekskl. moms vil blive afregnet i henhold til en særskilt betalingsplan.
3.5 Opgaver, der inkluderer produktudvikling, sampling eller lignende, forudsætter betaling af et opstartsgebyr, der forfalder før arbejdet påbegyndes.
3.6 Websites faktureres ved levering af den første version – uanset om mindre tilretninger stadig pågår. Levering kan ske via udviklingsserver.
3.7 Såfremt projektet forsinkes væsentligt som følge af manglende input, feedback eller materiale fra kundens side, forbeholder Tank Projects sig retten til at fakturere det fulde beløb 30 dage efter opgavestart, medmindre andet er skriftligt aftalt.
3.8 Alle priser justeres årligt pr. 1. januar med 2 %, med henblik på at følge den generelle prisudvikling.
3.9 Betalingsfristen på alle fakturaer er 8 dage netto. Ved forsinket betaling tilskrives renter og rykkergebyrer i henhold til gældende dansk lovgivning.
3.10 Ændringer i opgavens omfang eller kundens ønsker, der medfører ekstraarbejde, faktureres særskilt som tillægsydelser til gældende timepris – uden krav om yderligere aftale, medmindre andet er skriftligt specificeret.
4. Opsigelsesvilkår for løbende samarbejder
For abonnementsløsninger og andre fortløbende ydelser gælder en opsigelsesfrist på løbende måned + 3 måneder, medmindre andet er skriftligt aftalt.
5. Ansvar, garanti og ejerskab
5.1 Tank Projects leverer gennemtestede løsninger, men der ydes ingen garanti for kompatibilitet med fremtidige versioner af browsere, CMS-systemer eller tredjepartsintegrationer.
5.2 Support ydes udelukkende på løsninger udviklet af Tank Projects.
5.3 Tank Projects fraskriver sig ethvert ansvar i tilfælde af uautoriseret brug, tilretning eller misbrug af leverede løsninger, uden skriftlig godkendelse.
5.4 Al rettighed til design, kode og kreative koncepter forbliver Tank Projects’ ejendom, indtil fuld betaling er modtaget. Først herefter overdrages brugsretten til kunden.
5.5 Kunden skal reklamere skriftligt over fejl og mangler senest 5 arbejdsdage efter levering. Efter denne frist bortfalder retten til at gøre indsigelse.
6. Support og ad hoc-opgaver
Opgaver, support eller rådgivning via mail, telefon eller møder, der medfører handling, tidsregistreres og faktureres efter gældende timesats. Forespørgsler vedrørende potentielle fremtidige projekter faktureres ikke. Småopgaver faktureres samlet sidst på måneden.
7. Hasteopgaver uden for normal arbejdstid
Opgaver, der ønskes løst i weekender (fredag efter kl. 16.00 til søndag kl. 24.00) eller på helligdage, faktureres med et tillæg på DKK 750 pr. påbegyndt time.
Natarbejde (kl. 00.00–06.00) udføres ikke, medmindre der foreligger en særskilt aftale.
8. Møder og sparring
Fysiske møder, online-møder og telefonisk sparring faktureres til almindelig timepris eller via klippekort, medmindre andet er fastlagt. Møder er ikke inkluderet i faste marketingpakker, medmindre det er specifikt nævnt i aftalen.
9. Force majeure
Tank Projects kan ikke drages til ansvar for forhold uden for virksomhedens kontrol – herunder, men ikke begrænset til, strejker, sygdom, pandemier, tekniske nedbrud, force majeure-hændelser og manglende levering fra underleverandører.
10. Fortrolighed
Tank Projects forpligter sig til at behandle alle oplysninger, materiale og data modtaget fra kunden fortroligt og vil ikke videregive disse til tredjepart uden forudgående skriftlig samtykke.
11. Hosting og drift
Webløsninger hostes som udgangspunkt via tredjepartsudbydere. Tank Projects fraskriver sig ansvar for nedetid, tekniske fejl, datatab eller andre forhold, der ligger uden for virksomhedens kontrol.
12. Tvister og værneting
Uoverensstemmelser forsøges løst gennem dialog. Hvis dette ikke lykkes, indledes eventuelt mediationsforløb. Kan enighed ikke opnås, behandles sagen ved Københavns Byret som aftalt værneting.
13. Databeskyttelse og privatliv
Tank Projects håndterer kundedata i overensstemmelse med gældende databeskyttelseslovgivning (GDPR). Personoplysninger opbevares fortroligt og videregives ikke uden forudgående samtykke.
14. Kundens medvirken og ansvar
Kunden forpligter sig til at levere nødvendig information, materiale og feedback rettidigt. Forsinkelser som følge af manglende medvirken fra kundens side fritager Tank Projects for ansvar og berettiger til fakturering i overensstemmelse med punkt 3.7.
15. Visning af referencer og cases
Tank Projects forbeholder sig retten til at anvende udførte opgaver og løsninger som reference – herunder i porteføljer, på egen hjemmeside og i markedsføringssammenhæng – medmindre andet er skriftligt aftalt.
16. Ændringer og aftalens gyldighed
I henhold til dansk erhvervsret gælder princippet om aftalefrihed, hvilket betyder, at parterne frit kan aftale vilkår, herunder priser, opsigelsesvarsler og bindingsperioder. Som anført i punkt 1 gælder en aftale, når begge parter har accepteret vilkårene – hvilket blandt andet omfatter betaling af fremsendte fakturaer, som ligeledes anses som kundens accept af vilkårene.

1. Scope and Applicability
These terms and conditions apply to all services, agreements, and collaborations between Tank Projects ApS (“Tank Projects”) and the client, unless otherwise agreed in writing.
By accepting an offer, confirming an assignment, or settling an invoice, the client accepts these terms as legally binding.
2. Offers and Validity
All offers issued by Tank Projects are valid for 30 calendar days from the date of issuance, unless otherwise stated in writing.
3. Invoicing and Payment Terms
3.1 Minor assignments are invoiced upon completion.
3.2 Recurring services, such as subscriptions for marketing, support, or maintenance, are invoiced monthly in advance, with invoices issued on the 20th of each month.
3.3 Projects exceeding DKK 30,000 (excl. VAT) will be invoiced in two equal instalments: 50% fourteen (14) days after commencement and 50% upon delivery, unless otherwise agreed in writing.
3.4 Projects exceeding DKK 50,000 (excl. VAT) are subject to a separate payment agreement.
3.5 For assignments involving sampling, product development, or similar, a non-refundable start-up fee is required before project commencement.
3.6 Websites are invoiced upon delivery of the first version, regardless of pending minor adjustments. Delivery may take place on a development server.
3.7 If a project is significantly delayed due to lack of client cooperation, including missing materials or feedback, Tank Projects reserves the right to invoice the full project amount 30 days after the start date, unless otherwise agreed.
3.8 All prices are subject to an annual adjustment of 2% as of 1 January to reflect general inflation.
3.9 Payment terms are 8 calendar days from the invoice date. In the event of late payment, interest and reminder fees will be charged in accordance with applicable Danish legislation.
3.10 Work exceeding the agreed scope or resulting from client-requested changes will be invoiced as additional services at the applicable hourly rate, without requiring a new agreement unless otherwise specified in writing.
4. Termination of Recurring Services
For ongoing service agreements (e.g. subscriptions, maintenance), a termination notice of the current month plus three (3) additional full calendar months applies, unless otherwise agreed in writing.
5. Liability, Warranty, and Ownership
5.1 Deliverables are tested prior to handover but are not guaranteed to remain compatible with future updates to browsers, CMS platforms, or third-party systems.
5.2 Tank Projects does not provide support for solutions not developed by the company.
5.3 Tank Projects disclaims liability for errors or damage resulting from unauthorised use, modifications, or repair attempts by the client or third parties without prior written consent.
5.4 Ownership of all design elements, code, and creative concepts remains with Tank Projects until full payment is received. Upon payment, usage rights are transferred to the client.
5.5 Any defects or complaints must be reported in writing within five (5) business days of delivery. Failure to do so will waive the client’s right to make a claim.
6. Support and Ad Hoc Services
Support and advisory services that involve action—whether provided by email, phone, or meeting—are logged and invoiced by the hour at the current rate. General enquiries regarding future projects are exempt. Minor tasks are invoiced collectively at the end of each month.
7. Urgent Work Outside Regular Hours
Urgent assignments requested during weekends (from Friday 4:00 PM to Sunday 12:00 midnight) or on Danish public holidays are subject to a surcharge of DKK 750 per commenced hour.
Tank Projects does not carry out work during nighttime hours (12:00 AM–6:00 AM) unless otherwise expressly agreed.
8. Meetings and Strategic Consultation
Meetings—whether in person, online, or by phone—are invoiced at the standard hourly rate or deducted from pre-paid hour packages unless agreed otherwise. Meetings are not included in fixed marketing packages unless explicitly stated.
9. Force Majeure
Tank Projects is not liable for delays or non-performance caused by events beyond the company’s control, including but not limited to strikes, illness, pandemics, natural disasters, technical outages, or failures of subcontractors or suppliers.
10. Confidentiality
All information and material shared by the client will be treated as confidential. Tank Projects will not disclose such information to third parties without the client’s prior written consent.
11. Hosting and Uptime
Tank Projects provides hosting services through third-party providers. The company accepts no responsibility for downtime, data loss, or performance issues beyond its control.
12. Disputes and Governing Law
Disputes shall initially be resolved through mutual dialogue. If resolution cannot be reached, mediation will be attempted. As a final step, any legal dispute shall be brought before the City Court of Copenhagen (Københavns Byret) as the agreed venue.
13. Data Protection and Privacy
Tank Projects handles all personal data in accordance with the General Data Protection Regulation (GDPR). Personal information is stored securely and will not be shared with third parties without the client’s express consent.
14. Client Obligations
The client is responsible for providing necessary input, materials, and feedback in a timely manner. Failure to do so releases Tank Projects from any responsibility for delays and entitles the company to invoice as described under clause 3.7.
15. Rights to Showcase Work
Unless otherwise agreed in writing, Tank Projects reserves the right to display completed projects in its portfolio, on its website, and across marketing channels.
16. Amendments and Contractual Validity
Under Danish commercial law, the principle of freedom of contract applies, which means that the parties are free to agree on terms, including pricing, notice periods, and contract durations. As stated in clause 1, an agreement is deemed effective once both parties have accepted the terms—this acceptance also includes payment of issued invoices, which shall be regarded as the client’s confirmation and acceptance of the terms.
